ESSENTIAL DUTIES

Legal Expertise

  • Supports (and, where appropriate, leads) company critical commitments involving or affecting the region, including significant regional corporate development transactions involving technology licensing/distribution, product development, contract manufacturing, mergers, acquisitions, dispositions, other asset sales/purchases, joint ventures, equity investments and strategic commercial relationships.   Leads the preparation, drafting, review and negotiation of agreements for such transactions.  Advises local and global leadership with respect to such transactions. 
  • Prepares, drafts, reviews, negotiates, and modifies a wide variety of commercial contracts and other documents with legal significance, including among other leases, customer agreements, distributor agreement, vendor agreements, nondisclosure agreements, evaluation agreements, clinical trial agreements
  • Identifies, researches, and provides advice relating to complex legal and commercial compliance issues and develops resolutions to those issues.
  • Proactively, and without prompting, researches and identifies risks and proposals for alternative solutions to mitigate legal and regulatory risks that would have a material impact on the business and other risks involved in potential actions and transactions. 
  • Manages all China and SE Asia compliance matters and the administration of the company’s compliance program (such as its Code of Conduct and related policies and procedures) to the company’s China and SE Asia business.
  • Participates in regional trade association and legal leadership organizations to ensure the company maintains the latest best practices for managing legal and compliance risk
  • Design and provide regular training to China and SE Asia personnel on legal and compliance matters and policies.
  • Manages internal audit or internal investigation matters relating to legal and compliance matters
  • Prepares and maintains corporate records for China and SE Asia entities.  Leads governance matters, including signature authority, minute books, records management, and chop management.
  • Provides advice and counsel on employment, labor, and other laws, matters and policies and manages the legal aspects of all employment matters (including hiring, termination, policymaking, and related matters).
  • Coordinates with Terumo legal leadership across the global affiliate Terumo organization on global legal initiatives
  • Stays current on developments in applicable laws, regulations and industry codes of ethics and practices.
  • Interprets laws, rulings and regulations for the company and recommends appropriate changes or actions.
  • Manages the legal aspects of any government audits, investigations, or reviews. 
    Leadership
  • Recruits, hires, trains, manages, mentors, evaluates, develops, and directs the work of one or more legal/compliance personnel in the region
  • Selects, supervises, and directs the work of outside counsel.
  • Reviews and is responsible for expenditures for outside counsel.
