JOB TITLE: Legal Counsel EMEA

 

JOB SUMMARY

Under minimal supervision, Legal Counsel EMEA is responsible for

 

  1. negotiating, writing, reviewing, summarizing, researching and delivering a wide variety of agreements for internal clients (commercial and functional departments), including sales agreements, distributor agreements, technical service agreements, license agreements, and other commercial contracts,
  2. managing the Company’s distributor management program (third party risk management) and
  3. providing general legal and industry specific advice to commercial and functional departments.

ESSENTIAL DUTIES AND RESPONSIBILITIES
 

  • Manage all aspects of contracts arising in the affected countries and regions:
    • Manage contracts revision, review, draft, negotiation and approval according to the specific rules set out by the Company’s contract management policy.
    • Manage distributor contracts (and overall be responsible for the Company’s distributor management program).
  • Advise Company’s executives and employees (commercial and functional departments) in EMEA on a wide variety of general legal and industry specific issues.
  • Manage EMEA projects with strict deadlines and be a part of global projects providing regional input.
  • Advise on contract status, legal risks and business terms of various Company arrangements and business relationships.
  • Explain legal language and develop solutions to legal questions.
  • Keep abreast of legislative changes that may affect the Company and its affiliates in the affected countries and regions.
  • Develop solutions to complex legal questions and liaise with external counsels when necessary.
  • Provide training to Terumo BCT and its affiliates in EMEA on substantive legal and compliance topics.
  • Other duties as assigned which are reasonably within or extensions of the scope of the above listed duties or those included in the Law Department strategic plan.

MINIMUM QUALIFICATION REQUIREMENTS

 

Education

 

Master of Laws.

 

Experience

  • Minimum 5 years’ experience in a law firm or in-house law department. Healthcare industry experience is an asset.
  • Experience with contract and third party risk management.
  • Experience with the EU and national legislation.

 

Skills

  • Requires excellent knowledge of English and in particular, excellent drafting skills in English.
  • Knowledge of any other language would be a plus.
  • Discretion & high level of confidentiality
  • Legal document drafting and negotiation skills.

  • Ability to interact effectively with associates at all levels in all businesses and apply skills of influence and persuasion.
  • Requires ability to listen carefully, question and process/consider input effectively when evaluating legal and compliance issues.
  • Skilled at working independently while coordinating with other attorneys, paralegals and administrative staff.
  • Demonstrated ability to quickly establish trust and rapport with other personnel.
  • Understands business implications of decisions and knowledge of market and competition.
  • Efficient at handling multiple projects.
  • Requires strong organizational, analytical, interpersonal and time management skills.
  • Requires strong presentation skills to facilitate the effective delivery of training
  • Knowledge of Word Processing, Spreadsheet, Database, and PowerPoint, and other modern tools and software.

ADDITIONAL INFORMATION

  • Based: Belgian Office (Ikaroslaan 41, 1930 Zaventem) preferably, but remote location might be negotiable.
  • Reporting to:  Senior Legal Counsel.
  • Occasional travel may be requested.
